The Senior Advisor – Mergers and Acquisitions (SC – MA) supports the merger and acquisition activities of the Company and its subsidiaries, including the acquisition of the wealth and investment management advisor practices through the Company’s Bluespring Wealth Partners acquisition arm. The ideal candidate will have 7 or more years of large corporate legal experience, or equivalent in-house experience, and should have significant hands-on experience drafting and negotiating mergers and acquisitions. The candidate must be able to work independently with key business stakeholders and external and internal consultants in relevant disciplines (regulatory, employment, tax, etc.) as necessary. SC–MA will be responsible for advising on all stages of acquisitions from non-disclosure agreements, to term sheets, to due diligence, to transaction documents. Additionally, the SC – MA will work closely with the corporate secretary and private equity sponsor to ensure equity considerations are properly documented and recorded. This position will also support the company’s general legal needs by assisting with corporate recordkeeping and negotiating and reviewing general contracts necessary to support the operations of the company and its subsidiaries.
Duties and responsibilities
- Serve as a primary legal resource for all phases of mergers and acquisitions with a primary focus on the acquisition of the investment advisors and wealth management practices of the firm’s Bluespring Wealth Partners business. Negotiating and drafting non-disclosure agreements, term sheets, acquisition documents, employment agreements and related transaction documents.
- Providing advice on competition issues and the use of restrictive covenants associated with transactions.
- Work effectively with business leaders, legal peers, HR, and compliance staff on legal issues associated with acquisitions
- Work closely with the Company Secretary and Private Equity Sponsor regarding shares issued in transactions and others
- Providing proactive advice on new and emerging risks affecting acquisitions of wealth management firms and investment advisors
- Assist with company secretarial function and general legal matters for the company and its subsidiaries
- Other legal duties as assigned from time to time
Qualifications and experience
- Jordanian Dinar from an accredited law school; Active bar membership in at least one jurisdiction in the United States
- – At least 7 years of direct hands-on M&A experience with a strong background in financial services, wealth management, preferably with private equity portfolio companies.
- Exceptional leadership, communication, and business acumen, with the ability to effectively partner with senior executives and investors
- Strong communication and negotiation skills and the ability to manage complex transactions and contractual arrangements
Preferred qualifications
- Strong working knowledge of SEC, FINRA, and other regulatory issues associated with investment advisor acquisitions and wealth management practices.
- Experience in a high-growth, private equity-backed company in the financial services space
- Strong network within the legal, wealth management and regulatory communities.
