About Arbitrum OpCo

Arbitrum’s Operating Company (OpCo) is dedicated to supporting the growth and success of the Arbitrum ecosystem on behalf of ArbitrumDAO. As an adjacent entity to the DAO, OpCo provides the necessary operational infrastructure to empower stakeholders, coordinate strategic projects between Arbitrum-aligned entities, and ensure the smooth implementation of approved proposals.

Our mission is to serve as a link between the DAO’s vision and real-world implementation, maintaining transparency, agility, and alignment with the Arbitrum communities. We provide logistical support via a decentralized network of builders, stakeholders, and community members.

Role overview

The Legal Counsel will be the primary legal resource within Arbitrum OpCo, ensuring that all treasury operations, contracts and service provider engagements are legally sound, compliant and consistent with the DAO’s governance decisions.

This role is critical to building OpCo’s capacity as a trusted implementer of the DAO, while maintaining high standards of transparency, accountability and regulatory awareness.

Key responsibilities

Contracts and agreements

• Draft, review and negotiate contracts with OpCo staff, DAO service providers, grant recipients, incentive partners and investment counterparties
• Create and maintain service level agreements with treasury management protocol teams and incentive partners
• Develop and maintain standardized contract forms and negotiation guides

Regulatory and compliance

• Oversee all compliance matters related to OpCo operations, including treasury, grants and investments management
• Monitor the evolving legal and regulatory landscape for decentralized autonomous organizations (DAOs), decentralized finance (DeFi), and digital assets; Providing risk assessments and mitigation strategies

Entity support and governance

• OpCo corporate governance support (board of directors, filings, compliance obligations)
• Providing research and legal advice on new DAO-owned companies
• Coordination with the Oversight and Transparency Committee (OAT) to ensure accountability in legal processes
• Providing advice on structuring DAO proposals or treasury activities to mitigate legal risks

Stakeholder collaboration

• Work closely with the Head of Operations to implement DAO decisions
• Interacting with external consultants, auditors and regulators when needed
• Provide clear and accessible legal advice to DAO representatives, shareholders and community members where appropriate

Qualifications/skill set

required

• Law degree (JD, LLM, or equivalent) and licensed to practice in at least one jurisdiction
• -4-6+ years of legal experience, ideally in corporate law, contracts, or regulatory compliance
• Excellent knowledge and understanding of corporate law and procedures
• Strong knowledge of blockchain, DAOs or digital assets
• – Demonstrate the ability to draft and negotiate agreements efficiently
• High degree of professional ethics and integrity
• Strong communication skills, with the ability to explain legal concepts to non-legal stakeholders
• Ability to act independently as lead legal counsel within the organization and make legal decisions in complex and evolving regulatory environments across global jurisdictions
