a description:

The Orchard is looking for an experienced transactional lawyer with a mergers and acquisitions background to join the Transactions and Legal team.

What will you do?
• Drafting and negotiating a range of commercial agreements and transactions focusing on related mergers and acquisitions and share acquisitions
• Conduct and manage legal due diligence for potential transactions.
• Coordinate with cross-functional teams throughout the transaction life cycle.
• Drive continuous improvements and scalability in deal processes, diligence and execution.
• Possibility of additional deal work, including joint venture agreements, distribution agreements, vendor/service agreements and licensing.
• Provide advice on various inquiries from internal business units, including contract research and analysis.
• Managing external counsel.

Who are you
• 6 years of experience in a major law firm (preferably in IP or corporate, with at least 3 years in mergers and acquisitions)
• JD from a reputable law school
• Member of the New York Bar Association in good standing
• Excellent negotiation and drafting skills
• Excellent analytical and communication skills (written and verbal)
• Team player with the ability to work with others within the group and across departments
• Highly responsive and service-oriented attitude
• Experience independently negotiating complex business transactions
• Flexibility to assist the legal team in its activities as needed
