Senior Director, Legal Commercial Development and Project Finance at Bloom Energy in San Jose, California

We are looking for a Senior Manager of Legal Commercial Development and Project Finance to join our team in one of today’s most exciting technologies. This role will report to Vice President of Legal Commercial Development
Role and responsibilities:
This individual will be involved in a variety of financial, commercial, project development and asset management issues at Bloom Energy’s rapidly growing operations around the world. This position will report to the Vice President of Legal Commercial Development and Project Finance. Bloom Energy is an entrepreneurial venture, and the person must have the ability to act independently, work proactively, and have a passion and appreciation for the company’s vision and mission.
• Structuring, drafting and negotiating energy project financing transactions including portfolio financing and other tax debt and equity transactions, and a variety of secured and unsecured related transactions.
• Manage, negotiate and implement a range of agreements relating to the Company’s commercial and project development pipeline including power purchase agreements, operations and maintenance agreements, purchase and construction contracts, joint venture agreements and sale and leaseback arrangements.
• Provide concise and considered legal advice on commercial issues, project development and issues relating to the wider corporate landscape.
• Providing advice to the company’s project finance and project development teams.
• Interact with cross-functional stakeholders to improve contractual outcomes with technical and operational considerations.
• Provide training on substantive legal issues, including emerging risk areas.
• Research and provide guidance on proposed regulations, policies and legislation that impact business priorities.
• Provide thought leadership to stakeholders in project finance and project development within and outside the company.
• The ideal candidate will have experience working internationally.
Education and experience:
- JD is from a prestigious law school and is in good standing with the bar association in at least one US state.
- 15+ years of transactional experience with top law firms OR 8+ years of transactional experience with top law firms plus 4+ years of in-house transaction experience.
- Project finance, commercial contracting and project development experience with a background in the clean technology and renewable energy industry.
- Experience in developing and structuring ad hoc arrangements. Experience representing developers and generators, including utility and/or C&I markets.
- Outstanding business acumen, decisive critical thinking skills and meticulous professional confidence.
- Proven ability to effectively manage multiple projects with changing priorities, work independently and work in a fast-paced, dynamic and matrix environment.
- Excellent written, verbal and interpersonal communication skills.
