Description of the situation

Ceribell is a medical technology company focused on advancing the diagnosis and management of patients with serious neurological conditions. The Ceribell system is a new point-of-care electroencephalography (“EEG”) platform designed to address unmet patient needs in the acute care setting. The system is used in hundreds of community hospitals, large academic facilities and major international domain names across the country. The Ceribell team is grounded in a shared commitment to transforming the critical care landscape through rapid seizure detection technology.

We are looking for a highly motivated and hands-on Associate General Counsel to join our legal team. Reporting to the General Counsel, this role will provide commercially oriented legal support across multiple functions, including commercial, regulatory, corporate governance and compliance matters. The ideal candidate will have a strong background in the medical technology, pharmaceutical, or other life sciences sectors, and experience in a fast-paced startup environment. The Associate General Counsel will serve as lead legal counsel to the business, providing strategic and practical legal advice across corporate, securities and healthcare regulatory law. This role will lead legal efforts related to corporate governance, SEC compliance, and legal risk management. The successful candidate will be expected to become a trusted partner to senior leadership, focusing on supporting R&D and commercial strategy while ensuring the company’s commitment to compliance in a complex regulatory environment.

Responsibilities

  • Corporate Governance/SEC: Managing corporate counsel who handles SEC compliance; Overseeing the drafting and submission of Securities and Exchange Commission disclosures; Support corporate governance best practices and initiatives, including supporting the Board of Directors and committees as needed; Managing governance documents and corporate records; Ensure compliance with Regulation FD and Nasdaq rules; Support insider trading policy management.
  • Healthcare Regulation and Compliance: Advising on FDA, OIG, CMS, and other federal agency rules (e.g., AKS, FCA) as well as state regulations, data privacy (e.g., HIPAA), and other laws impacting life sciences companies. Advising on HCP engagement, advertising, promotion, market access and cross-border arrangements, proposing practical and compatible solutions aligned with the business strategy.
  • Employment: Providing advice on employment law across jurisdictions; Drafting and advising on employment agreements and policies; Support critical HR matters and legal aspects of executive compensation and equity programs.
  • Risk Management: Advise internal stakeholders such as product and engineering teams on legal risks, assist in designing internal policies, and support training, monitoring and audit activities of the company’s healthcare regulatory compliance consultant as needed.
  • Contracts: Oversee the drafting, review, negotiation and interpretation of a wide range of R&D and commercial agreements, including complex licensing and financing transactions as well as vendor, SAAS customer, distribution and clinical research contracts.
  • Operations: Assist in implementing cost- and time-efficient processes, controls and automation, including software integration and IronClad CLM support to enable efficient and scalable contracting. Contribute to Ceribell’s success by participating in other duties and responsibilities as requested or needed.
  • Intellectual Property: Assist in supporting trademark and patent applications and other intellectual property functions as needed.
  • Management: Managing external consultants and cross-functional collaboration in support of business objectives, including coaching and mentoring others. Excellent interpersonal and behavioral skills to build strong relationships and gain trust, including effective communication, problem-solving ability, time management, prioritization, continuous learning, empathy, teamwork, and self-awareness.

Requirements/Qualifications

  • Juris Doctor (J.D.) from an accredited US law school and an active member in good standing of the bar of at least one US state (preferably California). Please select GoInhouse.com when applying.
  • 15+ years of progressively responsible legal and compliance experience, including a law firm background and in-house experience supporting at least one life sciences, healthcare, or medical device company.
  • Strong knowledge of the FDA, CMS, SEC regulatory landscape, data protection and privacy laws, and general business law relevant to the medical technology industry. Legal experience in clinical development preferred.
  • Proven ability to manage multiple priorities, communicate with cross-functional teams, and provide business-oriented legal advice. Startup experience preferred.

Compensation scope

$295,000330,000 US dollars

The candidate’s final salary offer will depend on their skills, education, work location and experience and therefore may differ from the advertised range. Compensation may also include bonuses consistent with Ceribell’s compensation plan.
