Summary of the job:
The pharmacy related to seeking a legal advisor in the House of Representatives seeks to work as a general adviser to the company. Providing reports to the Financial Director, the General Adviser will be a strategic legal partner for the executive leadership, and supports the national growth of operational excellence and excellence. The General Adviser will play an important role in the progress of the innovative pharmacy model in Strive and multi -state operations.
Main responsibilities:
Legal infrastructure and risk management
- Establishing and leading the company’s legal infrastructure, policies and processes
- Work as a cooperative partner for executive leadership, providing legal interpretation and support
- Supporting business growth while identifying legal risks and mitigating it proactively
Contract Management
- Supervising the review, negotiation and implementation of health care partnerships, clinical partners, suppliers and other main stakeholders
- Development and implementation of contract management systems and approval processes to support business development and operational efficiency
Foreign lawyer management
- A front with an external lawyer, and ensuring effective and high -quality legal support
M & A transactions
- Performs due legal care, structuring, negotiation, and integration with integration, purchases and joint projects
- Providing advice on transactions strategy, risk allocation and post -acquisition integration
It raises funding and capital
- Providing legal support to financing transactions, including stocks and debts, private places, and raising capital
- Formulating and negotiating financing documents and coordination with external advisers and investors
Real estate and rental purchase
- Supervising the legal aspects of real estate transactions, including the acquisitions of sites, rental and expansion
- Negotiating and drafting purchase agreements, lease contracts and relevant documents
Intellectual property management
- Developing and implementing strategies to protect the intellectual property of the company
- Supervising the management, enforcement and licensing of the IP portfolio
Human employment and resource law
- In cooperation with human resources, advice on the issues of the employment law, including employment, termination, compensation and workplace policies
- Human resources support in developing and implementing compatible employment practices and resolving employment disputes
Field and conflict resolution
- Managing all actual and threatened litigation that involve the company
- Developing and implementing conflict resolution strategies that reduce operating disorder
- Supervision and coordination with the lawyer of external litigation to ensure effective representation
Corporate Governance
- In cooperation with the financial manager, support the issues of corporate governance, including the decisions of the Board of Directors, approvals, minutes and sub -management
- Provide advice on the legal entity structure and corporate procedures
Organizational support and licensing
- Providing legal guidance on food and drug administration regulations, the requirements of the State Council and the multiple state licenses
- Supporting the compliance function in maintaining organizational commitment across all judicial states
Training and education
- Training and educating employees on best legal practices, intellectual property, data privacy and marketing
Qualifications:
- Dr. Forenes (Dinar) from the accredited law school
- Licensing an active tape in at least one American judicial state, Arizona preferred
- Legal experience at least 10 years, with a focus on corporate law, and at least 5 years in health care sectors, medicines or life sciences
- The experience of negotiating, formulating and managing complex contracts
- The experience of leading the legal aspects of integration, purchase, financing, real estate and intellectual property
- A busy record in creating a legal infrastructure as a first or lonely lawyer
- Strong analytical skills and attention to details, with the ability to work independently
- Oral and writing communication skills are excellent
- The ability to manage complex legal projects and work cooperatively with senior management
- The ability to balance the company’s long -term interests with legal and regulatory requirements
