Transpire Bio Inc. It seeks to obtain a very enthusiastic legal advisor with experience in intellectual contracts and commercial contracts to join our growing team. This role will provide decisive legal support through the management of IP governors, its licensing, cooperation agreements and corporate contracts. The ideal candidate will be fluent in mandarin, allowing effective participation with China Transpire Bio, as well as partners, sellers and organizational authorities in China. This position is perfectly suitable for a lawyer who flourishes in the environment of fast -paced biotechnology, especially with preparedness for public subscription.

Main responsibilities:

Contracts:
• Formulating, reviewing and negotiating a wide range of agreements, including sellers contracts, CRO/CMO agreements, supply/distribution contracts, secrecy agreements, and strategic partnerships.
• Partner with purchases, operations and clinical teams to support the daily contracting needs.
• Ensuring compliance with corporate policies, securities regulations and the requirements for preparing for public subscription.

Intellectual property (IP):
• Supporting the IP wallet strategy in cooperation with R&D and the outer IP lawyer.
• Formulating, reviewing and negotiations on patent licensing agreements, research cooperation, and material transfer agreements.
• Help with analyzes for freedom and construction of the IP Care for Transactions.
• Coordination with the external lawyer about patent files, brands and enforcement.
International (Mandrin / China focus)
• Providing the support of the mandarin language in reviewing contracts and negotiating with Chinese partners, suppliers and collaborators.
• Helping to meet cultural and legal differences in negotiations and commercial practices.
• Monitor and provide advice on Chinese organizational/legal developments related to biotechnology operations.
• Knowledge of drug approval in China and Europe.

Qualifications:

• JD or LLB (with the acceptance of practice in at least one American state).
• 5-8+ years of legal expertise, perfectly a combination of law and interior office in the biotechnology/pharmaceutical sector.
• A strong background in intellectual property and commercial contract.
• Liquidation in the required mantrin (operative and writing).
• The experience of working with Chinese partners, suppliers, or organizers who prefer strongly.
• Excellent negotiations, formulation, and communication skills.
• The ability to balance legal risks with practical business solutions in a quick startup environment.
