Legal Counsel
Summary of the job
Medline seeks to obtain compensation and advantages of a legal advisor to be specialized in the stock law in executive compensation programs, managers, shares and benefits. This lawyer submits reports to the Vice President, Deputy General Adviser and the company’s secretary, on overseeing all legal aspects of the company’s executive compensation programs and the manager, and in partnership with the company’s secretary and compensation team, and the management of the compensation committee in the Board of Directors to comply with the requirements of the SEC list, and best practices.
In addition, this lawyer provides support for other issues related to securities and corporate governance, and to cooperate closely within the legal team and between the company’s compensation, external reports, corporate accounting, financing, and investor relations.

Compensation and benefits of things
Providing advice and assisting commercial partners via job, senior management committee, compensation for compensation and benefits, including:
- Designing an executive and wide compensation program and the impact of design decisions on internal and external stakeholders
- Compensation practices, including monitoring these practices in light of advanced legal requirements and best practices
- Compensation programs at the company level at the company level (strong technical knowledge of the relevant US federal tax laws and securities)
- Erisa laws and federal tax laws related to employee advantages, health, luxury and wellness initiatives
- Specified contribution plans and uncharacious plans, including 401 (K) (prefer to try section 409A)
Financial matters
Providing advice and assistance in securities regulation issues, including:
- Drafting leadership to detect compensation and analyze it and support the statement of the disclosure of the other agent’s statement
- Helping in matters compliance with the exchange and other disclosure law, including setting up the S-8 and Model Registration data 8-KS and reviewing the 10-KS and 10-SS, especially with regard to compensation and benefits issues
- Supervising compliance with Article 16 and Article 13, including all relevant deposits, and other trading compliance issues
- Supporting issues involved in stock trading plans, internal trading issues, and managing the company’s internal trading policy
Corporate governances
Providing advice and assistance in corporate governances, especially with regard to compensation and benefits, including:
- Supporting the companies secretary in preparing, reviewing and distributing materials for the compensation committee meetings, drafting decisions, communicating management, and registering the meeting minutes
- Supporting the development and implementation of best practices in corporate governance, and ensuring compliance with the laws, regulations and insert requirements.
- Review the proposals of the shareholders, prepare responses, support approvals for the board of directors and related compensation
- Provide advice on the Law of Corporate and Stock Standards
- Supporting awareness efforts for the main investors and advisors of the agency
- Supporting planning and implementation of the company’s annual shareholders meeting
- Coordination with senior executives and members of the Board
Basic qualifications
education
- A certificate of a doctor from the accredited law school and the senior academic credentials.
Certificate / license
- Licensing to practice in Illinois or licensed and in a good position with another country tape and is able to become licensed in Illinois.
Related work experience
- At least 4 years of strong experience in the practice of securities and corporate governance, with a focus on compensation and benefits, in a major law company or a public company.
- Excellent actions and legal judgment with the ability to make decisions and provide practical advice that explains an understanding of comprehensive work objectives and the balance of risks and rewards in complex situations.

- Excellent communication and display skills, both oral and writing, including the ability to provide complex and understandable in a group of partners.
- The ability to remain familiar with the emerging legal developments, market trends, practices, risks related to general disclosure, corporate governance and harassment to learn new areas of law.

The expected salary scope of this position:
152,880.00 dollars – 229,320.00 dollars annually
The actual salary will vary based on the applicant, education, expertise, skills and capabilities website. This role is the reward and/or the qualified incentive. Medline will not pay less than the minimum wage or salary threshold.
